YOU AGREE THAT :

1. By obtaining, using or paying for any of the content from Shootles, you agree to be bound by and comply with all of the terms of this agreement and the license(s) -either 'Standard' or 'Enhanced' which you choose. If you do not agree with any of the applicable terms, do not obtain or use any content from Shootles.

2. The Licensing Agreement is binding between Neurogramma and You. "Neurogramma" means both Shootles.com and its parent Neurogramma. "You" means either (a) the individual listed as the registrant of the Shootles.com account through which this Agreement and the license(s) granted hereunder are entered ("Registrant") or (b) if Registrant is entering into this Agreement and the licenses granted hereunder for the benefit of, and/or as agent on behalf of, Registrant's employer ("Employer") and/or a third party ("Principal") then such Employer and/or Principal. If Registrant is entering into this Agreement and the licenses granted hereunder for the benefit of, and/or as an agent on behalf of Employer and/or Principal, then Registrant (a) represents and warrants that such Principal and/or Employer has authorized Registrant to enter into this Agreement, and that the license granted hereunder are on on that Principal's and/or Employer's behalf, that such Princiapl and or Employer has agreed to be bound hereby and that Registrant has actual and express authority to act on behalf of and bind such Principal and/or Employer to the terms of this Agreement; (b) the Content and End Use is solely for the benefit of Employer, or Principal, and that Registrant will not use the Content or End Use for the benefit of any other person or entity without entering into a separate license from Shootles, and (c) Registrant will comply with all of the terms hereof and shall be jointly and severally liable for any breach of the terms of the this Agreement by Principal and/or Employer.

3. Neurogramma makes available via Shootles.com material for download, for use under either a standard license or an enhanced license. Both licenses are displayed in their entirety under the Information section on the Shootles.com homepage. You agree to use Shootles.com material according to the license terms you have chosen and paid for. For any usage wider than that granted under Shootles' Enhanced License, a custom license must be obtained.

4. Credits and Copyright Attributions shall be accorded according to the terms specified in licensing arrangement of your choice. Shootles can waive such requirements on a case by case basis. If you have any questions regarding credit attributions and copyright notices or wish to request that Shootles grant you a waiver of such requirements, please write to info@shootles.com. No waiver of such requirements shall be effective unless confirmed in an email or other writing from Shootles to you.

5. Potential contributors wishing to become Shootles submitters must present a portfolio of their work. Shootles submitters are required to sign a written agreement with Shootles.com.

6. Limitation of Liability: Except for any liability which cannot by law be excluded or limited, neither Neurogramma nor any Neurogramma subsidiary, Neurogramma or Shootles employees, successor, predecessor, parent, joint venture, affiliate, officer, director, employee, contractor, content source, licensor, or licensee shall be liable to you or any other third party claiming through you for indirect, incidental, special, punitive, staturory or consequential damages arising out of, or relating to this agreement and/or your use or inability to use the content, whether framed as a breach of warranty or merchantability, title, non-infringement, or fitness for a particular purpose, in tort, contract, failure of essential purpose, or otherwise. In no event shall Neurogramma or any of its subsidiaries', successors', predecessors', parents', joint ventures' affiliates' officers' directors' employees' contracors' content sources', licensors' or licensees' total aggregate liability to you or any third party claiming through you arising from this agreement, its termination or expiration, and/or use of any content provided hereunder, shall exceed the monetary amount actually received by Neurogramma or Shootles for the use of the applicable content. The foregoing limitations are applicable notwithstanding any failure of essential purpose.

7. Disclaimer: Any and all documention concerning the images, furnished by the contributing artists and made available by Shootles, is provided to you solely for assisting you in searching for relevant images. Neurogramma and Shootles make no warranty that such documentation is exact. It is furnished on a best-effort basis.

YOU AGREE YOU WILL NOT :

7. Use an Image other than as specified in the license agreement ('Standard' or 'Enhanced') which you choose and pay for.

8. Use or display any Image on websites or in connection with any service designed to sell or induce sales of "print on demand" products, including postcards, mugs, t-shirts, posters, artwork and other items, this includes custom designed websites as well as sites such as Cafe Press (i.e. www.cafepress.com).

9. Use an Image together with pornographic, defamatory, or otherwise unlawful or immoral content or in such a manner that it infringes upon any third prty's trademark or intellectual property.

10. Use an Image in a way that places any person in the photo in a bad light or depicts them in a way that they may find offensive - this includes, but is not limited to:
   a) the use of Images in pornography;
   b) tobacco ads;
   c) ads for adult entertainment clubs or similar venues, or for escort, dating or similar services;
   d) political endorsements;
   e) advertisements for pharmaceutical products, including, but not limited to personal hygiene or birth control products;    
   f) uses that are defamatory, or contain otherwise unlawful, offensive or immoral content.

11. Resell, redistribute or transfer any Image except as specifically provided herein. Displaying any Image in any digital format or for any digital use at a resolution greater than 480 x 600 pixels, except in editorial or preliminary design work will be deemed to be an attempt to redistribute the Image and could result in the termination of your rights under this agreement.

10. Share an Image by providing access to such Image on shared disk drives, computer networks, intranets of any nature or otherwise.

12.  Use Shootles Images in a manner that competes with Shootles's business. This includes, by way of illustration, not by way of limitation, displaying images in any format (including thumbnails) for download on a website or otherwise offering Shootles Images for sale, except as specifically provided herein.

YOU UNDERSTAND THAT :

The prices indicated on this website are for lawful use of Shootles images through purchase of an approriate license from this website. The price of any image unlawfully copied and subsequently used without license in a publication, website, or any other medium, is $100,000 plus expenses for the legal services necessary to recover said licensing fees.
